The terms governing the supply of Axisonic services, including the contracting entity, delivery obligations, intellectual property, and governing law.

Contracting Entity

All services described on this website are supplied by Reyman Pty Ltd, ABN 68 649 031 649 (ACN 649 031 649), head office Kellyville NSW 2155. Australian-owned, Australian-operated and an SME.

1. Agreement

These Terms & Conditions apply to every engagement between the client and Reyman Pty Ltd. Acceptance occurs when the client approves a written quote, statement of work, or master services agreement referencing these terms. In the event of any inconsistency between these terms and a signed agreement, the signed agreement prevails.

2. Scope of Services

The scope of services is defined in the applicable quote or statement of work. Axisonic will perform services with reasonable skill and care and in accordance with the agreed scope, timeline, and any service level commitments stated in the quote or an accompanying SLA framework.

Variations to scope require written agreement and may affect timeline and fees. Axisonic may engage specialist subcontractors to deliver part of the services; Axisonic remains accountable to the client for the performance of all subcontracted work.

3. Fees & Payment

Fees are stated in the quote and are exclusive of GST unless otherwise indicated. Invoices are due per the payment terms on the invoice. Late payment may suspend services until cleared. Axisonic may revise retainers or managed services pricing with reasonable notice.

4. Intellectual Property

On full payment, the client receives a non-exclusive licence to use the deliverables created for them for their business purposes, subject to any third-party licences embedded in those deliverables. Axisonic retains ownership of its pre-existing tools, frameworks, methodologies and generic components, and may reuse such materials provided no confidential client information is disclosed.

5. Confidentiality & Data

Each party will keep the other's confidential information secure and use it only to perform its obligations. Personal information is handled in accordance with our Privacy Policy and the Australian Privacy Principles. Clients remain responsible for the lawfulness of content and data they provide, including any government or regulated data processed under the engagement.

6. Warranties & Liability

Subject to consumer law that cannot be excluded, Axisonic's total liability for a claim under an engagement is limited to the fees paid for the services giving rise to the claim. Axisonic is not liable for indirect or consequential loss, or for loss caused by third-party platforms, data provided by the client, or events outside its reasonable control.

7. Termination

Either party may terminate an engagement on written notice in accordance with the applicable agreement, or immediately if the other party commits a material breach that is not remedied within 14 days of notice. On termination, the client pays for services delivered up to the termination date, and each party returns or destroys the other's confidential information on request.

8. Governing Law

These terms are governed by the laws of NSW, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of NSW, Australia.
